Responsibilities
Your Role:
Reporting into an Account Manager based in our global office in Vilnius, Lithuania, you will act independently and assist senior colleagues in the provision of corporate subsidiary governance services to clients with worldwide presence.
You will draft, review and file corporate and transactional documents and state forms for all stages of company lifecycle, i.e. from company incorporation through to dissolution, for clients in various US states in accordance to legal requirements with agreed deadlines.
You will conduct due diligence, order certified documents, conduct lien searches, complete UCC filings.
You will help to set up and provide commercial registered agent service in Delaware, maintain necessary accesses, registrations and compliance to regulations applicable to commercial registered agents in the state. You will perform and/ or monitor statutory state and federal filings with authorities for portfolio of clients.
You will coordinate with clients, business partners and colleagues worldwide in order to gather information and/ or documentation required to carry out assignments.
You will ensure that client's, local, international and industry specific requirements are met and legal updates shared.
You will maintain data and documents as well as ensure proper reporting.
Qualifications
About You:
You have a Bachelor's Degree or paralegal certificate from an approved ABA program.
You have 3+ years of experience in corporate law field, entity management, due diligence and corporate maintenance.
You have solid experience acting as registered agent in Delaware or providing registered agent service to clients with good understanding of requirements applicable to such service and relevant processes.
You have working experience in client servicing and project management (international exposure is an asset).
You have ability to manage multiple priorities in a fast paced environment.
You are a self-starter, and have the ability to work independently and understand when to escalate.
You have a sense of urgency, strong attention to detail, analytical, problem solving and communication skills.

Continue to pursue all self-study reading, exercises, and activities on a regular basis; engage in one-on-one training with the Practice Area Director/Manager when requested; receive feedback and implement suggestions
Prepare contractual agreements using current research methods and gain knowledge of a client's needs and have the ability to fulfill its requirements
Collaborate with a legal team consisting of lawyers, paralegals, executives, and office staff
Ensure that the terms of contractual agreements are written in language that is legally binding and in accordance with the desires of the client
Assist clients in interpreting contracts as business needs arise to fulfill the terms of or to terminate contracts on mutually amicable terms
Review contract terms and conditions to verify that they follow client policies and all applicable federal and state regulations
Clearly explain contract terminology to clients and other interested parties in simple, everyday language
Self-monitor progress according to the schedule of completion to submit drafts and documents in a timely manner
Proofread, edit, and fact-check legal documents for accuracy and consistency, according to a style guide if provided by the client
Research regulations to ensure contracts are updated and in compliance with laws
What you will need to be successful
Minimum of ten years specialized experience as a contract specialist or paralegal
Experience with one or more software platforms including but not limited to platforms for virtual interactions (i.e., Teams and/or Zoom), contract repositories, CRMs, and timekeeping systems
Training and/or certifications as a contract specialist or paralegal
Advanced computer skills and experience with Microsoft Office suite v.10 or above
Competent with Adobe Acrobat Pro
