About the Role: As a Paralegal, you will play a pivotal role in supporting our legal and corporate operations. Key Responsibilities: Corporate Governance: Draft, file, and manage business entity documents, including entity formation, foreign qualifications, EINs, and annual reports. Prepare resolutions, consents, board minutes, and other governance documents. Stakeholder Communication: Serve as a liaison between internal and external stakeholders, including board members, auditors, and legal counsel. Corporate Transactions: Assist in all phases of corporate transactions, including mergers, acquisitions, and other strategic initiatives. Compliance and Regulatory Oversight: Ensure adherence to corporate governance standards and regulatory requirements, maintaining the highest level of compliance. Contract Management: Support contract negotiations, reviews, and management, including real estate leases and other critical agreements. Policy Development: Develop, implement, and manage corporate policies and procedures, ensuring they align with company objectives and legal standards. Litigation Support: Assist in litigation and dispute resolution processes, including document preparation and management. Document Management: Organize and maintain corporate records, creating efficient retrieval systems and utilizing legal software and databases. Operational Support: Collaborate with the office management team to ensure smooth day-to-day operations, including document organization and administrative tasks. Qualifications and Skills: Experience: Minimum of five (5) years as a corporate paralegal, with a strong focus on corporate governance and contract management within an in-house legal department or law firm. Technical Proficiency: Experience with legal data rooms, contract databases, and systems such as NetSuite, Diligent, and SharePoint is highly desirable. Industry Knowledge: Prior experience in real estate, power, or renewable energy sectors is a plus. Communication: Exceptional written and verbal communication skills, with the ability to interact effectively with executive leadership and external partners. Organizational Skills: Strong time management, organizational, and multitasking abilities, with a keen attention to detail. Analytical Thinking: Demonstrated critical thinking and analytical problem-solving skills. Professionalism: High level of discretion, trustworthiness, and confidentiality.
