Position Overview As a Junior Corporate Associate, you will collaborate with experienced attorneys, and your responsibilities will include: · Drafting and negotiating transaction documents and advising clients on a broad range of M&A transactions, across diverse industries, including representing sellers in “rollup” transactions with private equity buyers. · Advising early-stage and mature companies, as well as investors, in equity and other investment transactions, including private placements and more traditional venture capital and private equity deals. · Handling other corporate transactions, such as joint ventures, licensing arrangements, and strategic corporate reorganizations. · Advising companies, board members and executives in a broad range of corporate governance matters, including with respect to operating agreements and shareholder agreements, and compliance with related regulatory requirements. · Handling day-to-day general corporate and business matters, and acting as outside general counsel, including drafting and negotiating distribution, licensing, supply and other sophisticated commercial agreements and arrangements.
