We are currently seeking an experienced attorney to lead our Derivatives/Market Documentation Legal team as an Executive Director, Senior Counsel. In this role, you will manage a dynamic team of legal professionals and be responsible for a broad range of matters, including standard capital markets derivative transactions, structured and secured derivative transactions, and regulatory support. As part of a collaborative 25-person legal team, you will engage with various stakeholders, demonstrating the ability to navigate a diverse array of transactions and regulatory matters with independence and sound judgment. Key Responsibilities: As the Executive Director, Senior Counsel, you will: Provide expert legal advice and support for capital markets derivatives transactions and related regulatory issues, ensuring compliance and risk mitigation. Supervise a seven-member team, including a three-person Market Documentation team, with a joint reporting line to the COO of CIB Americas. Collaborate with the Head Office Legal team to maintain up-to-date market documentation (ISDA, Repo, Sec Lending) and align legal policies with international developments. Engage with counterparties (Hedge Funds, Private Equity Funds, Financial Institutions, and Corporates) on a variety of derivatives, including Fixed Income (IRD, TRS, CDS), FX, Commodities, and Equities. Provide legal support for secured and structured derivative transactions while collaborating with the Legal team on compliance with Dodd-Frank Title VII and EMIR regulatory requirements. Manage external counsel as needed, ensuring effective legal analysis and contributions to the New Product Committee, including cross-border considerations. Proactively identify and address legal risks associated with derivative activities, providing strategic solutions to enhance risk control. Supervisory Responsibilities: Lead a team of seven legal professionals, including direct oversight of the Market Documentation team, ensuring effective performance and collaboration. Qualifications: Juris Doctor (J.D.) degree from an accredited institution. A minimum of 7 years of experience in a legal role at a large financial institution or law firm, with a focus on capital markets and derivatives. Exceptional verbal and interpersonal skills, with a proven ability to communicate complex legal concepts clearly and succinctly in writing and verbally. Strong analytical and organizational skills, with the capability to manage multiple priorities and deliver results under pressure. Self-motivated and able to work independently while fostering teamwork and collaboration. High integrity, strong work ethic, and a commitment to timely follow-through on commitments.
